Sun TV Network's amalgamation scheme effective May 1, 2025

Sun TV Network (BSE: SUNTV) has announced that the Scheme of Amalgamation between its subsidiary, Kal Radio Limited, and Udaya FM Private Limited, has become effective as of May 1, 2025. This follows the approval by the Hon'ble National Company Law Tribunal, Division Bench II, Chennai, as disclosed in the company's earlier communication on April 1, 2025. The disclosure, made under Regulation 30 of the Securities Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulations, 2015, references circular number SEBI/HO/CFD/CFD-POD-1/P/CIR/2023/123 dated July 13, 2023, issued by SEBI regarding the approval of the scheme. The company received confirmation from Kal Radio Limited on May 1, 2025, that all conditions precedent in Clause 14.1 of the Scheme have been met.
