Zydus Lifesciences to acquire Amplitude Surgical for €256.8m

Zydus Lifesciences (ZYDUSLIFE) announced it will acquire 85.6% of Amplitude Surgical SA, a French-listed orthopedics company, for €256.8 million. The move will be executed through a purchase agreement with PAI Partners and other shareholders, with Zydus paying €6.25 per share. After the initial acquisition, Zydus intends to launch a mandatory simplified cash tender offer for the remaining shares. If successful, Zydus will proceed with a compulsory acquisition to delist Amplitude Surgical from Euronext Paris. Amplitude Surgical specializes in lower-limb orthopaedic products, reporting €106 million in sales for the year ended June 30, 2024. The acquisition will be subject to regulatory approvals and is expected to close by the first half of 2025. The purchase will provide Zydus with a platform for its MedTech strategy and access to global markets.
