Pepkor associate sells shares for R482.4m to fund business venture investment

Vista Treasury Proprietary Limited, an associate of Pepkor executive director PJ Erasmus, has subscribed for 12,060,000,000 ordinary shares in Business Venture Investments No 1499 Proprietary Limited (BVI) for R482,400,000. Vista paid this subscription price by transferring 20,000,000 Pepkor shares to BVI at R24.12 per share.

Following this transaction, Vista will become the controlling shareholder of BVI, while its indirect interest in Pepkor shares will remain unchanged. PJ Erasmus is an executive director of Pepkor and a director of Pepkor Trading (Pty) Limited, a major subsidiary of the company, as well as a director of Vista Treasury (Proprietary) Limited.

The off-market transfer of these ordinary shares occurred on September 29, 2025. This disclosure adheres to JSE Listings Requirements.
