Burstone Group shareholders approve all resolutions at 2025 AGM

Burstone Group Limited held its annual general meeting (AGM) on September 2, 2025, with all resolutions passing by the requisite majority. A significant 74% of the issued share capital, representing 596,633,776 shares, was present or represented. Key approvals included the re-election of directors and the ratification of executive appointments. For instance, Moses M. Ngoasheng was re-elected as a director with 94.40% of votes in favor, while Philip A. Hourquebie received 94.46% for his re-election. Rex G Tomlinson was re-elected as a director and a member of the audit and risk committee with 100.00% of votes in favor for both resolutions.

Shareholders also approved various committee appointments, including Disebo C Moephuli and Vuyisa Nkonyeni for the audit and risk committee, both with strong majorities. Raisibe K Morathi's election to the audit and risk committee garnered 99.92% support. Furthermore, Myles Kritzinger's appointment as an executive director was ratified with 100.00% of votes in favor, and PricewaterhouseCoopers Inc. was reappointed as the designated auditor, also with 100.00% support.

Financial resolutions were also passed, granting directors authority to allot and issue shares. Ordinary resolution 16, authorizing the issuance of 80,491,844 unissued shares (10% of shares in issue), passed with 70.39% in favor. Special resolution 1, authorizing the issuance of 40,245,922 unissued shares (5.00% of shares in issue) for cash, received 91.72% support. Directors' authority to issue shares for a dividend reinvestment plan (special resolution 15) was approved with 99.93% of votes in favor.
