African Rainbow Capital Investments delisting and re-domiciliation approved

At a General Meeting held on Tuesday, May 6, 2025, ARCI shareholders passed all resolutions required to approve the delisting and re-domiciliation, with over 98% voting in favor. The total number of shares represented at the meeting was 1,405,298,488, representing 92.58% of all shares. With all conditions precedent now fulfilled, the offer by ARC and ARC Subsidiary is wholly unconditional and open for acceptance until May 23, 2025. Trading in ARCI shares is set to be suspended from the JSE and A2X on May 21, 2025, with termination of the listing on May 29, 2025. The re-domiciliation remains subject to regulatory approvals.
