TravelSky extends key service agreement with Mobile Tech for three years

TravelSky Technology Limited has extended its Service Framework Agreement with TravelSky Mobile Tech for a further three years, from January 1, 2026, to December 31, 2028. This follows the expiry of the current term on December 31, 2025. The agreement solidifies the ongoing provision of technology development, product research and development, technical support, and operation and maintenance services from TravelSky Mobile Tech to the company. TravelSky Mobile Tech is a 30%-controlled company of CTHCL, a substantial shareholder of TravelSky Technology, making these continuing connected transactions under Listing Rules.

The proposed annual caps for these transactions are 70m yuan for the year ending December 31, 2026, 80m yuan for the year ending December 31, 2027, and 90m yuan for the year ending December 31, 2028. These caps are based on historical transaction amounts, projected project carry-overs, and future cooperation plans leveraging new technologies like AI and blockchain. The transactions are subject to reporting, annual review, and announcement requirements, but are exempt from independent shareholders' approval under Chapter 14A of the Listing Rules.

The directors view these transactions as being in the ordinary course of business, on normal commercial terms, fair, reasonable, and in the best interests of the company and its shareholders. Several directors, including chairman Mr. Jiang Bo, abstained from voting due to their positions in CTHCL or other related entities.
