ENN Energy privatization advances with MOC filing completion

ENN Natural Gas Co., Ltd. (ENN-NG) and Xinneng (Hong Kong) Energy Investment Limited announced the completion of filings with the Ministry of Commerce regarding the conditional proposal to privatize ENN Energy Holdings Limited and delist it. This development, as of December 22, 2025, marks progress towards fulfilling Pre-Condition (a) of the proposal.

Several other pre-conditions remain to be satisfied, including Pre-Conditions (a), (b) and (c). Pre-Condition (d), which required approval from ENN-NG Independent Shareholders, was fulfilled on May 28, 2025. Filings by ENN-NG with the NDRC have also been completed.

The proposal is subject to the satisfaction or waiver of all pre-conditions by the Scheme Long Stop Date. Shareholders and potential investors are advised to exercise caution due to the conditional nature of the proposal.
