Central China Securities appoints new independent non-executive directors

Central China Securities Co., Ltd. held its 2025 First Extraordinary Shareholders' Meeting (EGM) on December 22, 2025. Shareholders approved the appointment of three independent non-executive directors and elected an employee director. Mr. Wang Hui, Mr. Wang Huixuan, and Mr. Du Xiaotang were elected as independent non-executive directors for the seventh session of the Board, with their terms commencing from the EGM date. All three resolutions for their election passed with over 99% of valid voting rights in favor.

The resolution for Mr. Wang Hui's election received 1,349,981,316 votes (99.424812%), Mr. Wang Huixuan's election garnered 1,352,364,909 votes (99.600362%), and Mr. Du Xiaotang's election secured 1,352,712,853 votes (99.625987%). The EGM also saw the resignation of an independent non-executive director and the election of Ms. Zhu Junhong as an employee director for the seventh session of the Board. Ms. Zhu will not receive remuneration for her directorship but will be compensated commensurate with her position.

All procedures for convening and conducting the EGM, including the voting process and poll results, were deemed compliant with relevant laws and regulations by Beijing Junzhi Law Firm.
