Prosperous Industrial renews Vietnam property management agreement, sets 2026 caps

Prosperous Industrial (Holdings) Limited announced the renewal of its continuing connected transaction related to property management and lease agreements in Vietnam. The company's indirect wholly-owned subsidiary, Starite Vietnam, leases buildings for its Vietnam production base from Pou Sung Vietnam, a wholly-owned subsidiary of substantial shareholder Yue Yuen. These agreements include maintenance, utilities, and property management services.

The 2025 Property Management Agreement is effective from January 1, 2026, to December 31, 2026. The proposed annual caps for the year ending December 31, 2026, are $160,000 for maintenance, $600,000 for utilities and other charges under the Vietnam Lease Agreements, and $400,000 for property management fees under the 2025 Property Management Agreement. The aggregated annual cap for 2026 is $1,160,000.

For the current year ending December 31, 2025, the aggregated annual cap under the Vietnam Lease Agreements and the 2024 Property Management Agreement is $1,180,000. Actual aggregated transaction amounts up to November 30, 2025, totaled $934,000, with directors expecting the annual caps not to be exceeded. This transaction constitutes a continuing connected transaction under Chapter 14A of the Listing Rules and is subject to reporting, annual review, and announcement requirements.
