Independent director resigns, puts CECOVU in breach of listing rules

Mr. Qi Liang has resigned as an independent non-executive director, chairman of the remuneration committee, and a member of the audit committee of China Electronics Optics Valley Union Holding Company Limited (CECOVU), effective December 18, 2025, due to a change in his work arrangements. His departure reduces the number of independent non-executive directors on the board to two, falling below the minimum requirement of three and less than one-third of the board members as stipulated by listing rules.

Consequently, CECOVU is now in non-compliance with listing rules. The company no longer meets the composition requirements for its audit and remuneration committees.

CECOVU's board is actively seeking a suitable candidate to be appointed as an independent non-executive director and as members of both the audit and remuneration committees to rectify the non-compliance as soon as practicable. Further announcements are expected.
