CR Medical, CR Pharmaceutical ink supply chain services agreement

China Resources Pharmaceutical Group Limited and China Resources Medical Holdings Company Limited have entered into a Cooperation Framework Agreement 2026/2028 for the provision of supply chain management services. Effective from January 1, 2026, to December 31, 2028, CR Medical Group will deliver supply chain management services for medical supplies to CR Pharmaceutical Group, aiming to enhance efficiency and reduce costs. CR Medical Group will receive management service fees for these services.

The annual caps for management service fees payable by CR Pharmaceutical Group to CR Medical Group are set at RMB170,000,000 for each of the years ending December 31, 2026, 2027, and 2028. These caps were determined based on factors including historical transaction amounts, expected increases in service volume, and the expansion of CR Medical Group's hospital network.

This agreement constitutes a continuing connected transaction for both companies under Chapter 14A of the Listing Rules. As China Resources (Holdings) Company Limited is the controlling shareholder of both entities, the transaction is subject to reporting, announcement, and annual review requirements.
