Chongqing Rural Commercial Bank amends articles, reinforces Party role

Chongqing Rural Commercial Bank Co., Ltd. has announced amendments to its articles of association, which were approved by shareholders at the 2025 First EGM on December 10, 2025. The board subsequently made further revisions, or "further amendments," based on guidance from the Chongqing State-owned Assets Supervision and Administration Commission and the bank's operational circumstances. These amendments are detailed in an appendix to the announcement and will become effective upon approval by the Chongqing office of NFRA.

The amendments primarily focus on governance and oversight, particularly concerning the bank's Party committee and discipline inspection committee. Revisions to article 1 highlight the bank's commitment to establishing a modern state-owned enterprise system with Chinese characteristics, reinforcing the Party organization's leading role, and ensuring compliance and sound governance. Article 13 further clarifies the decision-making processes for "three major and one significant" matters, emphasizing collective discussion to prevent arbitrary decisions and ensure compliance.

Further changes address the board's powers, specifically in article 172, where the formulation and adjustment of the bank's investment plan, along with equity and fixed asset investments, now explicitly include consideration of projects on the "negative list of investment projects of municipal state-owned enterprises in Chongqing." Additionally, articles 184 and 185 outline Chongqing Municipal SASAC's role in attending board meetings and proposing interim meetings, underscoring state-owned asset supervision.
