KWG Group Holdings renews key connected transactions with KWG Living

KWG Group Holdings Limited has entered into six new framework agreements with KWG Living Group on December 11, 2025, for a term commencing January 1, 2026, and ending December 31, 2028. These agreements cover property leasing, publicity planning, property agency services, residential property management, commercial property management, and commercial operational and value-added services. KWG Living Group is deemed a connected person due to shared controlling shareholders.

The proposed annual caps for the new property lease framework agreement are RMB17,000 for each of the three years ending December 31, 2028, with historical transaction amounts of RMB11,943 in 2023 and RMB10,650 in 2024. For publicity planning services, the proposed annual caps are RMB4,000 for each year, compared to RMB26,878 in 2023 and RMB10,210 in 2024. Property agency services have proposed annual caps of RMB10,400, RMB11,100, and RMB11,700 for 2026, 2027, and 2028 respectively, significantly lower than the historical RMB169,100 in 2023 and RMB17,615 in 2024.

Residential property management services propose annual caps ranging from RMB104,400 to RMB111,200 for 2026-2028, while historical figures were RMB215,996 in 2023 and RMB116,149 in 2024. Commercial property management services will have annual caps of RMB81,000 across the three years, versus RMB170,240 in 2023 and RMB100,921 in 2024. Lastly, commercial operational and value-added services propose annual caps from RMB65,400 to RMB70,900 for 2026-2028, compared to RMB132,008 in 2023 and RMB70,573 in 2024.
