China Resources Pharmaceutical updates travel services with CR Digital

China Resources Pharmaceutical Group Limited has entered into the Amended Business Travel Services Framework Agreement 2026 with CR Digital, effective December 10, 2025, through December 31, 2027. This agreement replaces the previous 2025 framework. It outlines the provision of business travel services by CR Digital Group, an indirect wholly-owned subsidiary of controlling shareholder CRI, to the company. Services include booking flight tickets, accommodations, train tickets, ride-hailing, and related management.

The maximum annual caps for business travel service fees payable to CR Digital Group are RMB400.0m for 2025, RMB600.0m for 2026, and RMB800.0m for 2027. These caps were determined based on the scope of services, estimated demand, average fees, and expected service quality. Historical amounts for business travel services paid by the group to CR Digital Group were RMB298.1m for 2024, and RMB273.6m for the nine months ended September 30, 2025.

As the applicable percentage ratios for these transactions exceed 0.1% but are less than 5%, the agreement and its proposed annual caps are subject to reporting, announcement, and annual review requirements but are exempt from independent shareholders' approval under Chapter 14A of the Listing Rules.
