Chunlizhengda proposes governance changes, abolishes supervisory committee

Beijing Chunlizhengda Medical Instruments Co., Ltd. will hold an extraordinary general meeting (EGM) on Monday, December 29, 2025, to consider and approve several key proposals. The primary agenda includes proposed amendments to the articles of association and the abolishment of the supervisory committee, with its functions and powers to be exercised by the audit committee, as mandated by the new PRC Company Law effective July 1, 2024.

Other proposed amendments include adjustments to the functions of the general meeting and the board, enhanced protection for shareholders' rights, and various consequential and internal changes. These revisions align with updated PRC Company Law and recent guidelines from the CSRC and the Hong Kong listing rules, which encourage electronic dissemination of corporate communications and virtual attendance at general meetings.

Shareholders will also vote on proposed amendments to the rules of procedures of the general meetings and the rules of procedures of the board meetings. The board of directors recommends voting in favor of all proposed resolutions, which, if approved by special resolution at the EGM, will lead to the automatic removal of supervisory positions.
