Sunny Optical completes Goertek Optical equity transactions, strengthens stake

Sunny Optical Technology (Group) Company Limited announced on December 8, 2025, the completion of its share swap and merger agreement. This involved transferring a subsidiary's entire equity interests in return for equity interests in Goertek Optical Technology Co., Ltd. Following this, Ningbo OmniLight held a 30.00% equity interest, with Goertek holding 37.77% in Goertek Optical.

Additionally, the company completed a further subscription for equity interests in Goertek Optical. Ningbo OmniLight and Goertek injected RMB200.00 million each, subscribing for new registered capital of approximately RMB55.64 million, respectively. This capital injection increased Goertek Optical's total registered capital from RMB1,588,534,464 to RMB1,699,815,664.

Upon completion of both transactions, Ningbo OmniLight's equity interest in Goertek Optical increased to 31.31%, while Goertek's interest adjusted to 38.57%. The remaining interests are held by GGC at 3.14%, Ningbo Sun Ao and Ningbo Sun Cheng at 3.11%, and other equity owners at 23.87%.
