China Resources Medical renews healthcare services, PMM framework agreements

China Resources Medical Holdings Company Limited announced the renewal of two significant continuing connected transactions with CRH, its controlling shareholder. The company entered into a Healthcare Management Services Framework Agreement with CRH, effective from December 1, 2025, to December 31, 2027. Under this agreement, group members will provide healthcare management services to CRH Group members. The annual caps for these services are RMB20 million for 2025, RMB100 million for 2026, and RMB170 million for 2027. This renewal aims to establish a long-term business relationship, expanding customer channels and service models.

Concurrently, the company renewed the CRH PMM Framework Agreement, now the 2026–2028 CRH PMM Framework Agreement, which will run from January 1, 2026, to December 31, 2028. This agreement enables the group to procure pharmaceuticals, medical devices, and medical consumables (PMM Items) from CR Group members. The proposed annual caps for PMM Item procurement are RMB1,600 million for 2026, RMB1,650 million for 2027, and RMB1,700 million for 2028, reflecting anticipated growth in hospital networks and centralized supply chain management.

Both agreements constitute continuing connected transactions under Chapter 14A of the Listing Rules. The Healthcare Management Services Framework Agreement is exempt from independent shareholders' approval. However, the 2026–2028 CRH PMM Framework Agreement will be subject to approval by independent shareholders at an extraordinary general meeting, as one or more applicable percentage ratios exceed 5%.
