BOC Aviation grows fleet with two Airbus A350-1000s from Philippine Airlines

BOC Aviation Limited, a leading global aircraft operating leasing company, has entered into an agreement with Philippine Airlines Inc. to purchase two Airbus A350-1000 aircraft and subsequently lease them back to the airline. This transaction was announced on December 4, 2025.

The first Airbus A350-1000 aircraft is scheduled for delivery in 2025, with the second expected to follow in 2026. This move expands BOC Aviation's total portfolio, which as of September 30, 2025, comprised 812 aircraft and engines owned, managed, and on order.

The transaction is classified as a discloseable transaction under Listing Rule 14.07, as one or more relevant percentage ratios exceed 5% but remain below 25%. However, due to its nature as a Qualified Aircraft Leasing Activity, it is exempt from announcement, circular, and shareholder approval requirements under Listing Rule 14.33C.
