GCL Technology's share capital surges by 2.7bn shares in november

GCL Technology Holdings Limited reported a substantial increase in its issued share capital for the month ended 30 November 2025. The total number of issued shares rose from 30,510,383,973 to 33,216,469,973, an increase of 2,706,086,000 shares. The company's authorised/registered share capital remains constant at 50,000,000,000 shares with a par value of HK$0.1, totaling HK$5,000,000,000.

The increase was primarily due to two placings. On 7 November 2025, 1,353,043,000 new shares were issued at HK$1.15 each. A second placing on 19 November 2025 involved an additional 1,353,043,000 new shares, also at HK$1.15 per share. These transactions relate to the Tranches 2A & 2B Subscription Shares under agreements dated 16 September 2025 and 25 September 2025.

The company's Share Option Scheme, adopted on 22 October 2007, saw a lapse of 1,085,360 options, reducing the outstanding options from 34,855,937 to 33,770,577.
