Pharmaron Beijing reports stable share capital and treasury shares in November

Pharmaron Beijing Co., Ltd. reported its monthly return on movements in securities for the month ended November 30, 2025, revealing no changes in its authorized or issued shares during the period. The total authorized share capital for the company remains at RMB 1,778,195,525. H Shares maintained 301,537,125 authorized shares at a par value of RMB 1 per share. Similarly, A Shares held 1,476,658,400 authorized shares, also at a par value of RMB 1 per share.

The number of issued H shares (excluding treasury shares) stood at 294,273,825, with 7,263,300 H shares held as treasury shares, totaling 301,537,125 issued H shares. The company confirmed that 6,721,300 H shares and 542,000 H shares were repurchased in December 2024 and January 2025, respectively, and are held as treasury shares. These 7,263,300 treasury H shares are designated for the "2025 H Share Award and Trust Scheme" to award employees, as approved on June 20, 2025. For A shares, the number of issued shares (excluding treasury shares) remained at 1,476,658,400, with no treasury A shares, resulting in a total of 1,476,658,400 issued A shares.

No new shares were issued and no treasury shares were transferred out under any incentive schemes or agreements during November 2025. As of the end of the month, the potential number of shares to be issued or transferred out under existing schemes includes 329,331 A shares from the 2021 Restricted A Share Incentive Scheme, 1,363,918 A shares from the 2022 Restricted A Share Incentive Scheme, and 910,946 A shares from the 2023 A Share Incentive Scheme. Additionally, 7,263,300 H shares are available under the 2025 H Share Award and Trust Scheme.
