Tong Ren Tang Technologies renews agreements, appoints new director

Tong Ren Tang Technologies Co. Ltd. will hold an Extraordinary General Meeting (EGM) on December 30, 2025, to seek shareholder approval for the renewal of its Distribution Framework Agreement and Master Procurement Agreement. The company will also seek approval for the appointment of Ms. Du Xin as a new non-executive director. Both renewed agreements, effective from January 1, 2026, to December 31, 2028, involve Tong Ren Tang Holdings, the company's ultimate controlling shareholder.

The Distribution Framework Agreement facilitates the group's sales of products to Tong Ren Tang Group, with proposed annual caps of RMB3,700 million, RMB4,220 million, and RMB4,820 million for 2026, 2027, and 2028, respectively. The Master Procurement Agreement governs the group's procurement of relevant products from Tong Ren Tang Group, with proposed annual caps of RMB360 million, RMB400 million, and RMB450 million for the same periods.

Ms. Du Xin's appointment follows Mr. Chen Fei's resignation due to work adjustments, effective upon Ms. Du's election at the EGM. Additionally, the company disclosed the renewal of a Land Use Right Leasing Agreement with Tong Ren Tang Holdings for land at No. 20 Nansanhuan Zhonglu, Beijing, with an annual rent of RMB9,281,600 for three years starting October 6, 2025. A Supplemental Trademark Licence Agreement was also entered into to revise the scope and terms of trademark usage and adjust the annual caps for 2026 and 2027 to RMB33,297,000 and RMB39,958,000 respectively.

Furthermore, the company announced changes in its company secretary, secretary of the board, authorised representative, and process agent, with Ms. Ma Wing Yee and Mr. Han Guan Zhao assuming these roles, effective November 28, 2025.
