Goldwind to repurchase shares, amend articles, and hold key meetings

Xinjiang Goldwind Science and Technology (Goldwind) will hold an extraordinary general meeting (EGM) and an H shareholders' class meeting (HCM) on Friday, December 19, 2025, to address significant corporate changes. The meetings will consider the proposed repurchase and cancellation of part of its restricted A shares under the 2024 restricted A share incentive scheme, as well as changes to the company's registered capital and amendments to its articles of association. These actions follow the resignation of 15 participants and the failure of two participants to meet 2024 performance appraisal targets, impacting 1,279,000 restricted shares.

The repurchase of these shares, at a grant price of RMB3.95 per share (adjusted), will involve a total of RMB5,054,310.10 from the company's own funds. This will reduce Goldwind's total share capital from 4,225,067,647 shares to 4,223,788,647 shares, with a corresponding change in registered capital from RMB4,225,067,647 to RMB4,223,788,647. The EGM will also consider the estimated annual cap for related party transactions for 2026, specifically for sales of products to China Three Gorges New Energy (Group) Co., Ltd. and its subsidiaries, with an estimated cap of RMB603,081 ten thousand.

The related party transactions with China Three Gorges New Energy, a substantial shareholder holding 9.16% of Goldwind's A shares, adhere to a pricing policy based on tender processes or prevailing market prices for WTG parts and components not requiring tender. Goldwind has implemented internal control measures to ensure compliance and fair market practices for these transactions, which are deemed normal and necessary business activities.
