Dongfang Electric shareholders approve governance changes, abolish supervisory committee

Dongfang Electric Corporation Limited announced the poll results of its 2025 Second Extraordinary General Meeting (EGM) held on November 28, 2025. Shareholders approved special resolutions to amend the Articles of Association and the Rules of Procedure for General Meeting, leading to the abolition of the supervisory committee. A total of 1,478 shareholders and authorized proxies, representing 2,098,896,809 shares or approximately 60.690519% of total voting rights, attended the EGM.

The resolution to amend the Articles of Association received 2,091,794,845 votes (99.661633%) in favor. The resolution to amend the Rules of Procedure for General Meeting passed with 1,939,307,202 votes (92.396501%) in favor. Both special resolutions were duly passed as they received more than two-thirds of the votes cast.

With the approval of the amendments to the Articles of Association, the supervisory committee has been abolished effective from the conclusion of the EGM. The company expressed gratitude to all former supervisors for their contributions. The full text of the amended Articles of Association will be published on the websites of the stock exchange and the company, with necessary filings to be completed in Hong Kong and China.
