Sinotruk (Hong Kong) seeks approval for Weichai parts purchase renewal

Sinotruk (Hong Kong) Limited will hold an extraordinary general meeting (EGM) on Monday, 22 December 2025, to approve the renewal of its continuing connected transaction with the Weichai Group for the purchase of parts. This renewal, effective from 1 January 2026 to 31 December 2026, involves Weichai Holdings supplying various materials and services to the Sinotruk Group. The proposed new annual cap for these transactions for 2026 is RMB21,000 million.

The 2026 Weichai Parts Purchase Agreement maintains terms similar to the expiring 2025 agreement, with pricing based on market conditions and competitive quotations. Historical transaction amounts for parts purchases from the Weichai Group were RMB14,175,000 for 2023, RMB16,221,000 for 2024, and RMB10,958,000 for the nine months ended 30 September 2025.

SHIG, the controlling shareholder of Sinotruk (Hong Kong), along with its associates, will abstain from voting on this resolution. An independent board committee and independent financial adviser recommend shareholders vote in favor, deeming the terms fair and reasonable.
