Pharmaron Beijing schedules 2025 EGM to address governance amendments, director elections

Pharmaron Beijing Co. will convene its first Extraordinary General Meeting (EGM) of 2025 on Thursday, December 18, 2025, at 2:30 p.m. at its headquarters in Beijing. The meeting aims to consider and approve a range of ordinary and special resolutions. Key ordinary resolutions include the by-election of an independent non-executive director for the third session of the board, along with amendments to several internal policies. These include the Related Party/Connected Transactions Management Policy, External Guarantee Management Policy, Independent Non-executive Directors Working Policy, External Investment Management Policy, Special Storage and Use of Proceeds Management Policy, and the Rules for Implementing the Cumulative Voting Mechanism. Additionally, the meeting will address changes to the Procedure for a Shareholder to Nominate a Person for Election as a Director.

Special resolutions on the agenda include amendments to the Articles of Association, Rules of Procedure for the General Meetings, and Rules of Procedure for the Board Meetings. H Shareholders intending to attend the EGM must deposit their share certificates and transfer documents with Tricor Investor Services Limited by 4:30 p.m. on Friday, December 12, 2025. The register of members will close from Monday, December 15, 2025, to Thursday, December 18, 2025, during which period no share transfers will be registered. Only shareholders whose names appear on the register by December 15, 2025, will be eligible to attend and vote.

All resolutions at the EGM will be put to a poll, with results published on the HKEX website and the company's website. Shareholders are reminded to bring identification documents. Proxies must present their identification and power of attorney or other authorization documents. The EGM is expected to last for half a day, and attendees are responsible for their own travel and accommodation expenses.
