Guangdong Yueyun seeks approval for renewed connected transactions with GCGC

Guangdong Yueyun Transportation Co. will hold its 2025 Third Extraordinary General Meeting on December 18, 2025, to seek shareholder approval for the renewal of annual caps for its existing continuing connected transactions. These transactions, primarily with Guangdong Provincial Communication Group Company Limited (GCGC), include expressway service and advertisement subcontracting arrangements, and rescue services.

The proposed annual caps for subcontracting arrangements for the three years ending December 31, 2028, are RMB376,307,000, RMB425,704,000, and RMB436,333,000 respectively. For rescue services under the renewed Rescue Services Entrustment Master Agreement, the proposed annual caps for the same period are RMB314,328,000, RMB316,117,000, and RMB317,924,000. These renewals, which extend from January 1, 2026, to December 31, 2028, reflect expected transaction growth, including an anticipated 30% increase in rescue service income for 2026 due to policy changes. GCGC, a controlling shareholder, will abstain from voting on these resolutions.
