Tianjin Capital Environmental Protection announces board changes, service agreement

Tianjin Capital Environmental Protection Group Company Limited announced the re-election of its board of directors and remuneration policies. The ninth session's terms expired on September 8, 2025, with proposed appointments effective from December 31, 2025, to December 30, 2028. Proposed executive directors include Tang Fusheng and Nie Yanhong. Non-executive director candidates are Wang Yongwei, Li Xiaoguang, and Liu Tao, while independent non-executive director candidates are Liu Fei, Wang Shanggan, and Xue Tao. Independent non-executive directors will receive RMB120,000 per annum, with other directors not receiving remuneration for their directorship. Fu Xinghai and An Pindong will retire from their director positions on December 31, 2025. These proposals will be voted on at an extraordinary shareholders' meeting on December 31, 2025.

Concurrently, the company entered into an Engineering Consultation Service Agreement with Tianjin Infrastructure Consultant on November 26, 2025, for the Phase II Relocation and Standard Enhancement of Xianyang Road Sewage Water Treatment Plant. The total contract price is RMB9,395,750, for services including filing, cost consulting, tender agency, and various evaluations. The service period extends from the signing date until project completion, expected no later than December 31, 2029.

This transaction is considered a continuing connected transaction under Chapter 14A of the Listing Rules, as Tianjin Infrastructure Consultant is an indirect wholly-owned subsidiary of Tianjin Investment Group, the ultimate controlling company. Directors Tang Fusheng, Wang Yongwei, and An Pindong abstained from voting on this agreement due to their connection with Tianjin Investment Group.
