ENN Energy Holdings updates on share options amid privatization proposal

ENN Energy Holdings announced on November 26, 2025, that 93,563 ENN Share Options from its 2012 Scheme were exercised, resulting in the issue of 93,563 new ENN Shares. Following this, the company's relevant securities in issue now comprise 1,131,537,288 ENN Shares, 5,050,513 ENN Share Options, and 259,000 ENN Share Awards. This update is part of an ongoing pre-conditional proposal by the Offeror to privatize ENN Energy via a scheme of arrangement.

Separately, Morgan Stanley Bank, N.A., an associate connected with the Offeror, disclosed its dealings in A shares of ENN Natural Gas Co., Ltd. on November 25, 2025. These dealings, made for its own account in RMB, included unsolicited client facilitation sales of 300 derivatives at RMB20.7967, 700 derivatives at RMB20.7400, and 300 derivatives at RMB20.8017. Additionally, 300 derivatives were purchased at RMB20.8017 and 100 derivatives were purchased at RMB20.8000.
