Country Garden subsidiary hit with regulatory warnings for disclosure failures

Country Garden Holdings Company Limited announced that its subsidiary, Giant Leap Construction Technology Group Co., Ltd., along with relevant principals, received warning letters from the Guangdong Securities Regulatory Bureau of the China Securities Regulatory Commission. The measures stem from Giant Leap Construction's failure to timely disclose changes in its company name, significant alterations in its board of directors and supervisors, and general manager, as well as being listed as a dishonest party subject to enforcement and significant litigation and arbitration matters.

The warning letters were issued to Giant Leap Construction, Yang Huiyan (then chairman), Chen Jiajia (person-in-charge of information disclosure affairs), and Yang Zehui (director, general manager, and person-in-charge of information disclosure affairs) for both bonds. Both Country Garden Holdings and Giant Leap Construction stated they attach great importance to the regulatory measures, will strictly adhere to bond information disclosure requirements, and fulfill their obligations in accordance with the law.

The companies further clarified that these matters do not constitute a breach of commitments or agreements in the prospectus and are not expected to have a material adverse impact on daily management, production, operation, or debt repayment ability. The announcement was made on November 21, 2025.
