CRSC shareholders approve governance overhaul, abolish supervisory committee

China Railway Signal & Communication Corporation Limited (CRSC) announced the poll results of its 2025 First Extraordinary General Meeting (EGM), held on November 21, 2025. Key resolutions passed include the abolishment of the Supervisory Committee and amendments to the Articles of Association. The resolution to abolish the Supervisory Committee received 99.967398% "For" votes, while amendments to the Articles of Association garnered 96.197634% "For" votes, both passing as ordinary and special resolutions, respectively. The company will now delegate the Supervisory Committee's powers to the Board's audit and risk management committee.

The EGM also saw the approval of changes to certain fundraising projects on the Sci-Tech Innovation Board and the use of proceeds from H Share offering. Additionally, resolutions related to A-Share related party transactions, estimations for ordinary related party transactions for 2026–2028, and a financial services framework agreement between CRSC Group Finance Limited and China Railway Signal and Communication (Group) Corporation Limited and its related party transactions were approved.

Concurrently, CRSC released the new "Terms of Reference of the Audit and Risk Management Committee," effective upon Board approval, replacing the previous version. This document outlines the committee's expanded responsibilities, encompassing independent evaluation, supervision of economic activities, and oversight of financial statements, internal control, and risk management. The committee will also advise on external auditor engagement and the appointment or dismissal of the company's financial controller.
