China Sanjiang Chemical renews key transactions with Mei Fu, Blue Whale Bioenergy

China Sanjiang Fine Chemicals Company Limited has renewed multiple continuing connected transactions with Mei Fu Petrochemical and Blue Whale Bioenergy. Effective from November 21, 2025, the company extended agreements with Mei Fu Petrochemical for loading and unloading services, storage tank leases, utility services and rentals, naphtha sales and purchases, and crude hydrogen and nitrogen supply, all running until December 31, 2028. The Naphtha Sales and Purchase Agreement and certain Blue Whale Bioenergy transactions are subject to independent shareholder approval due to their annual caps exceeding 5%.

The company also finalized agreements with Blue Whale Bioenergy for steam, liquefied petroleum gas, and fuel gas purchases, along with nitrogen, demineralised water, and miscellaneous materials supply, also extending to December 31, 2028. Mei Fu Petrochemical, indirectly 80% owned by Mr. Guan, a controlling shareholder of the company, will provide loading and unloading services with an estimated annual cap of RMB12m for each year from 2026 to 2028. The Storage Tank Lease Agreement with Mei Fu Petrochemical is capped at RMB8.2m annually for the same period.

The Naphtha Sales and Purchase Agreement with Mei Fu Petrochemical has a proposed annual cap of RMB2.6bn for each of the three years ending December 31, 2028. Similarly, the Crude Hydrogen and Nitrogen Supply Agreement with Mei Fu Petrochemical carries an annual cap of RMB72m. Key agreements with Blue Whale Bioenergy, including Steam Purchase, Liquefied Petroleum Gas Purchase, and Fuel Gas Purchase, are subject to independent shareholder approval due to their annual caps exceeding 5%.
