BOC Aviation expands fleet with three Airbus A350-900 aircraft

BOC Aviation Limited has entered into a discloseable transaction involving the purchase and leaseback of three Airbus A350-900 aircraft with EgyptAir Holding Company and EgyptAir Airlines Company. This strategic move, announced on November 19, 2025, will see the first aircraft delivered in 2025, with the remaining two expected in 2026. The transaction involves long-term leases, with two structured as finance leases.

The acquisition is being executed by BOC Aviation (USA) Corporation and BOC Aviation (Ireland) Limited, wholly-owned subsidiaries of BOC Aviation. As a leading global aircraft operating leasing company, BOC Aviation's portfolio currently stands at 812 aircraft and engines owned, managed, and on order as of September 30, 2025.

The transaction has been classified as a Qualified Aircraft Leasing Activity, which constitutes a discloseable transaction under Listing Rule 14.33D(1). While certain percentage ratios exceed 5%, all remain below 25%, allowing the transaction to be exempt from announcement, circular, and/or shareholders' approval requirements under Listing Rule 14.33C.
