AsiaInfo Technologies renews major agreement with China Mobile Group

AsiaInfo Technologies Limited (HKEX:1675) is set to renew its Software Products and Services Framework Agreement with China Mobile Communication Co., Ltd., a connected person. The agreement, dated October 31, 2025, covers the provision of software products and related services by AsiaInfo to China Mobile Group for three years, from January 1, 2026, to December 31, 2028. This renewal is subject to approval by independent shareholders at an extraordinary general meeting scheduled for December 5, 2025.

The proposed annual caps for these transactions are 4,800 million yuan for 2026, 5,000 million yuan for 2027, and 5,200 million yuan for 2028. Historically, transaction amounts with China Mobile Group were 4,835.0 million yuan in 2022, 4,926.4 million yuan in 2023, and 4,152.3 million yuan in 2024. The board and the independent financial adviser deem the terms fair and reasonable, reflecting cost-reduction initiatives by China Mobile Group and growing demand for AI-driven technological innovations.

Internal control measures, including price comparison with independent third parties and annual assessments, are in place to ensure compliance with Listing Rules. The Independent Board Committee and Red Sun Capital Limited, as the independent financial adviser, have recommended that independent shareholders vote in favor of the resolution.
