Xinte energy, TBEA amend service agreement, raising 2025 transaction cap

TBEA Co., Ltd. and Xinte Energy Co., Ltd. have entered into a supplemental framework agreement for sporadic services, signed on October 14, 2025, in Changji City, Xinjiang, China. This agreement amends a previous framework agreement dated October 17, 2023, concerning sporadic services such as engineering construction and landscaping provided by TBEA to Xinte Energy.

The key change outlined in the supplemental agreement is an adjustment to the annual transaction cap for 2025. Initially, the 2025 annual amount was not to exceed 450 million yuan (excluding tax). This has been revised upwards to 600 million yuan (excluding tax) to meet Xinte Energy's operational needs. The annual caps for 2024 and 2026 remain unchanged at 700 million yuan and 450 million yuan (excluding tax), respectively.

All other terms and conditions of the original agreement remain in effect. The supplemental agreement will be valid from the date of its sealing by both parties and approval by Xinte Energy's shareholders' meeting until December 31, 2026. This agreement is an integral part of the original framework agreement, holding equal legal force.
