Rizhao Port Jurong: Logistics services caps revised upward

Rizhao Port Jurong Co., Ltd. entered into a supplemental agreement with SDP Park Management on November 6, 2025, to revise the annual caps for its continuing connected transactions related to office logistics services. The original annual caps under the 2025 – 2027 SDP Park Management Framework Agreement were 12,000,000 yuan for 2025, 13,000,000 yuan for 2026, and 14,000,000 yuan for 2027.

The revised annual caps are now set at 15,000,000 yuan for each year from 2025 to 2027, reflecting an increased demand for services due to the company's development plans. As SDP Park Management is a wholly-owned subsidiary of Shandong Port Group, a controlling shareholder, these transactions constitute continuing connected transactions under Chapter 14A of the Listing Rules.

The revision of the annual caps is subject to reporting, annual review, and announcement requirements, but exempts the company from circular and independent shareholders' approval requirements. The terms of the agreement were determined through arm's length negotiation, considering comparable service fee rates and historical charges.
