Dynam Japan subsidiary acquires aircraft engine for $22.1m

Dynam Japan Holdings Co. announced that its wholly-owned subsidiary, Dynam Aviation Ireland Limited (DAIL), entered into a Sale and Purchase Agreement with SMBC Aero Engine Lease B.V. on October 30, 2025. This agreement is for the acquisition of a used PW1133GA-JM aircraft engine, valued at approximately $22.1 million. The transaction is considered discloseable under Chapter 14 of the Listing Rules. DAIL has paid a deposit of $250,000, with the balance due on the delivery date, expected on or before August 31, 2025.

The engine is currently leased by SMBC to Wizz Air Fleet Management Ltd. (Wizz) under an agreement expiring on May 31, 2033. This lease will be novated to DAIL upon delivery. The acquisition is conditional on factors including confirmation of transferability from the manufacturer and the engine not having suffered damage exceeding $6.0 million. The directors believe this acquisition will strengthen the Group's asset portfolio and generate stable returns.

Dynam Japan Holdings Co. reported no changes in its issued share capital, maintaining 696,443,096 ordinary shares, as per a monthly return filed on November 4, 2025. The company's authorised/registered share capital remains 2,520,000,000 shares. Shareholders are advised to exercise caution due to the conditions precedent.
