JD Logistics seeks higher annual transaction caps amid business expansion

JD Logistics, Inc. announced proposed revisions to its Supply Chain Solutions and Logistics Services Framework Agreement with JD.com, effective from January 1, 2024 to December 31, 2026. The company aims to increase its annual transaction caps due to rising demand, particularly from the expansion of JD Group’s food delivery business and the recent acquisition of local on-demand delivery services subsidiaries from JD.com.

For 2025, the revised annual cap is RMB110,000 million, up from the original RMB72,289 million. For 2026, the revised annual cap is RMB210,000 million, an increase from RMB86,723 million.

An Extraordinary General Meeting (EGM) is set for November 21, 2025, in Beijing to seek Independent Shareholders' approval. The board and the independent board committee recommend a vote in favor, stating the terms are fair and reasonable and in the company’s best interests. JD.com, as a controlling shareholder with approximately 62.99% interest, will abstain from voting.
