AsiaInfo renews key agreements with China Mobile Group

AsiaInfo Technologies Limited has resolved to renew its continuing connected transactions with China Mobile Group for a three-year term from January 1, 2026, to December 31, 2028. These renewals include the Software Products and Services Framework Agreement, the Lease Framework Agreement, and the Master Procurement Agreement. The transactions are subject to reporting, annual review, and announcement requirements under HKEX Listing Rules. The Software Products and Services Framework Agreement also requires Independent Shareholders' approval.

The proposed annual caps for these transactions reflect anticipated demand and strategic growth. For the Software Products and Services Framework Agreement, caps are set at yuan 4,800m for 2026, yuan 5,000m for 2027, and yuan 5,200m for 2028. The Lease Framework Agreement has caps of yuan 10m annually for the same period, while the Master Procurement Agreement's caps are yuan 50m for 2026 and yuan 60m for both 2027 and 2028.

These caps are based on historical transaction averages, anticipated growth in AI-driven innovation, and continuous synergies in digital intelligence-driven operations and ICT support. The board believes these renewals are fair, reasonable, and in the best interests of the company and its shareholders, fostering sustainable growth and economies of scale.
