China Communications adjusts connected transaction caps for 2025

China Communications Construction Company Limited announced adjustments to its continuing connected transactions with certain subsidiaries, primarily impacting leasing and mutual project contracting framework agreements for the year ending December 31, 2025. The company and its connected subsidiaries entered into supplemental agreements on October 30, 2025, to revise existing annual caps.

Under the supplemental leasing agreement, the estimated annual cap for rents received by the Group from connected subsidiaries increased from 47.42 million yuan to 51.05 million yuan. Conversely, the annual cap for rents received by connected subsidiaries from the Group increased from 400.00 million yuan to 422.23 million yuan. Additionally, ZhongBo Green Energy Co., Ltd. is no longer a party to these agreements as it ceased to be a connected subsidiary.

For the mutual project contracting framework agreement, the estimated annual cap for fees received by connected subsidiaries for providing labor and subcontracting services to the Group was revised upwards from 240.52 million yuan to 342.78 million yuan. These transactions are subject to reporting, announcement, and annual review requirements but are exempt from independent shareholders' approval.
