China Resources Gas names new director, proposes re-domicile to Hong Kong

China Resources Gas Group Limited has announced the appointment of Mr. Zhang Shenwen, aged 57, as a non-executive director and a member of the audit and risk management committee, effective October 28, 2025. Mr. Zhang brings extensive experience from China Resources Group, having joined in 1994, and holds an MBA from the University of San Francisco. He will not receive director’s fees or other remuneration, and his tenure is subject to rotational retirement and re-election.

Concurrently, the board proposes a change of domicile from Bermuda to Hong Kong, in accordance with "The Companies (Amendment) (No. 2) Ordinance 2025," and the adoption of new articles of association compliant with Hong Kong laws. This move aims to optimize operations, reduce multinational compliance complexity, and deepen connectivity with the Chinese Mainland capital market, without affecting the group's assets, management, financial position, or listing status.

The proposed re-domiciliation and new articles of association are conditional upon shareholder approval via special resolutions at a special general meeting, compliance with listing rules, and obtaining all necessary regulatory approvals. Shareholders and investors are advised to exercise caution, as these changes may or may not proceed.
