China Nonferrous Mining announces board changes, new non-executive director

China Nonferrous Mining Corporation Limited (HKEX:1258) announced that Yaoyu Tan has resigned as a non-executive director and member of the audit committee, effective October 28, 2025, due to other business commitments. Mr. Tan confirmed no disagreement with the board.

Concurrently, Zhijiang Chen has been appointed as a non-executive director and a member of the audit committee, effective the same date. Mr. Chen, 44, brings over 12 years of financial management experience and has a bachelor's degree in accounting. He joined CNFC in 2003, a subsidiary of CNMC, and has held various positions in finance and accounting within the CNMC group. His initial term is three years, commencing October 28, 2025, with no director's remuneration but eligibility for reimbursement of expenses.

Following these changes, the board will comprise Bo Xiao as executive director and chairman, Zhijiang Chen and Yani Gong as non-executive directors, and Huanfei Guan, Guangfu Gao, and Yufeng Sun as independent non-executive directors. Mr. Chen will serve on the audit committee, while Mr. Tan's previous roles on the remuneration and compliance committees will be updated with new assignments for other directors.
