Macau Legend revises rights issue, capital reorganization timeline

Macau Legend Development Limited has announced adjustments to its proposed rights issue timetable and a new capital reorganization plan. The company intends to undertake a capital reorganization to satisfy legal and procedural conditions under Cayman Islands law for the rights issue. This reorganization includes changing its domicile from the Cayman Islands to Bermuda and a capital reduction, decreasing the nominal or par value of shares from HK$1.00 to HK$0.01.

Due to the additional time required for the capital reorganization, the dispatch of Prospectus Documents, initially expected by Friday, October 31, 2025, is now postponed to on or before Wednesday, December 31, 2025. The revised timetable also shifts the first day for dealings in nil-paid Rights Shares to Monday, January 5, 2026. Despite these changes, both the company and the co-underwriters confirm their intention to proceed with the rights issue as planned.

The rights issue remains on the basis of one rights share for every two existing shares held on the record date, fully underwritten. The record date for determining entitlements is Thursday, October 30, 2025, with the register of members closing from Thursday, October 23 to Thursday, October 30, 2025.
