Everbright Greentech subsidiary to incinerate 48,000 tonnes of household waste

On October 23, 2025, Everbright Ecological Remediation, a wholly-owned subsidiary of China Everbright Greentech Limited, entered an Excessive Household Waste Co-treatment Agreement with Baoying Energy. Under this agreement, Baoying Energy will dispose of 48,000 tonnes of excessive household waste from the "Baoying County Yundong Household Waste Landfill Site Closure Project" by incineration. This volume includes 25,000 tonnes for the year ending December 31, 2025, and 23,000 tonnes for the year ending December 31, 2026.

The processing fee is set at RMB126.29 per tonne, totaling approximately RMB6,061,920 payable by Everbright Ecological Remediation to Baoying Energy. The fee was determined through arm’s length negotiation, considering Baoying Energy’s charges to independent customers, proximity, service quality, and treatment capacity. Everbright Ecological Remediation will handle transporting and disposing of ashes based on local government instructions.

Baoying Energy is an indirect subsidiary of CEEGL, a controlling shareholder of the company, making this a connected transaction under Chapter 14A of the Listing Rules. As the highest applicable percentage ratio exceeds 0.1% but is less than 5%, the transaction requires reporting, announcement, and annual review, but is exempt from circular and independent shareholders' approval.
