Independent director resigns from Central China Securities board

Mr. He Jun has resigned as an independent non-executive director of Central China Securities Co., Ltd., effective October 20, 2025, citing career reasons. He also stepped down from his role as a member of the Special Committee under the Board. Mr. He Jun confirmed he has no disagreements with the Board and no other matters requiring explanation to shareholders or lenders.

Due to Mr. He Jun's resignation, the number of independent non-executive directors on the seventh session of the Board will fall below the required one-third threshold. In accordance with the Articles of Association and relevant regulations, he will continue to serve until a new independent non-executive director is elected at a future shareholders' meeting.

The company's board reviewed and approved a "Proposal on Nominating Candidates for Independent Directors" at its thirty-eighth meeting of the seventh session, with plans to elect a successor as soon as practicable. The Board expressed gratitude to Mr. He Jun for his contributions to the company's development and standardized operations during his tenure.
