ENN Energy updates on share option exercise amid takeover proposal

ENN Energy Holdings Limited reported that on October 15, 2025, 11,000 ENN share options from its 2012 Share Option Scheme were exercised. This resulted in the issue of 11,000 new ENN shares, bringing the total number of ENN shares in issue to 1,131,316,275.

Following this, ENN Energy's relevant securities now include 5,312,026 ENN share options, which entitle holders to subscribe for an equal number of new shares, and 259,000 ENN share awards that are not convertible into ENN shares. This update is made in the context of a pre-conditional proposal by Xinneng (Hong Kong) Energy Investment Limited to privatize ENN Energy via a scheme of arrangement.

Shareholders and potential investors are reminded to exercise caution when dealing in ENN-NG and ENN Energy securities, as the privatization proposal and share option offer are subject to the satisfaction or waiver of pre-conditions and may not be implemented.
