China Galaxy Securities proposes governance reforms, interim dividend, and 2025 capex

China Galaxy Securities Co., Ltd. announced proposed amendments to its Articles of Association, the abolishment of its Supervisory Committee (with functions transferred to the audit committee), and revisions to its rules of procedure for general and board meetings. These changes aim to improve corporate governance and align with amended Company Law and new regulatory requirements. Resolutions will be voted on at the Second Extraordinary General Meeting of 2025 on October 31, 2025.

The company also proposed an interim profit distribution for 2025, offering a cash dividend of yuan1.25 per 10 shares to shareholders on record as of November 14, 2025. This represents a total cash dividend of yuan1,366,800,282.00, equivalent to 21.07% of the unaudited net profit attributable to shareholders for the first half of 2025.

Additionally, China Galaxy Securities outlined a capital expenditure budget of yuan879m for 2025, primarily for financial technology, branch construction, and operational management. yuan10m is allocated to an information system emergency protection fund.
