Towngas Smart Energy's share capital rises after option exercises

Towngas Smart Energy Company Limited (HKEX:1083) reported an increase in its issued share capital, with a total of 1,146,000 new ordinary shares issued through share option exercises during October 2025. The company's total number of issued shares (excluding treasury shares) rose from 3,635,293,007 on September 30, 2025, to 3,636,439,007 by October 14, 2025.

The changes include three separate events of ordinary shares issued pursuant to the Share Option Scheme adopted on May 26, 2022. On October 8, 2025, 138,000 new shares were issued at an issue price of HK$3.4 per share, representing 0.004% of the existing number of issued shares. Two subsequent issuances occurred: 900,000 shares on October 10, 2025, and 108,000 shares on October 14, 2025, both at HK$3.4 per share. These represented 0.025% and 0.003% respectively of the existing issued shares before each event.

All new shares issued relate to the exercise of share options granted to participants who are not directors of the issuer. The company confirmed that all issues were duly authorized and complied with listing rules and regulatory requirements.
