Yantai North Andre Juice to revamp governance, abolish board of supervisors

Yantai North Andre Juice Co., Ltd. will hold its 2025 second extraordinary general meeting (EGM) on Tuesday, October 28, 2025, at 2:00 p.m. in Yantai City, Shandong Province, PRC. Shareholders will vote on special resolutions including the abolishment of the Board of Supervisors and amendments to the articles of association, as well as changes to the rules of procedure of the general meeting and board of directors. These proposed changes aim to improve corporate governance in accordance with updated PRC company law and listing rules.

Additionally, ordinary resolutions will address amendments to the work rules of independent directors and the management systems for external guarantees, external investment, and connected transactions decision-making. New systems for preventing misappropriation of funds, implementation rules for cumulative voting, and a management system for profit distribution are also proposed. These updates ensure the company aligns with regulatory requirements and enhances oversight.

To facilitate shareholder participation, the register of holders of H shares will close from October 23, 2025, to October 28, 2025, with transfers to be lodged by 4:30 p.m. on October 22, 2025. All resolutions at the EGM will be voted on by poll, with results published on the company's and Hong Kong Stock Exchange websites.
