Simcere Pharmaceutical group boosts share capital by 121m shares

Simcere Pharmaceutical group reported a substantial increase in its issued share capital for the month ended September 30, 2025. The total number of issued ordinary shares rose by 121,000,000, bringing the new balance to 2,595,697,618 shares from the previous month's 2,474,697,618. This movement is attributed to a placing and subscription of new shares.

The new ordinary shares were issued and allotted on September 10, 2025, at a price of HK$12.95 per share. This transaction was executed under a placing and subscription agreement dated September 2, 2025, following a general meeting approval on June 13, 2025.

Additionally, the company has 252,778,461 shares which may be issued or transferred out of treasury pursuant to its Restricted Share Unit (RSU) Scheme, as approved by the board on May 20, 2021, and amended on June 15, 2023. No treasury shares were issued or transferred out during the reporting month.
