GCL Technology raises capital with new share placement

GCL Technology Holdings Limited (03800) announced on October 8, 2025, a significant change in its issued share capital, following the completion of a share placement and subscription. The company issued 1,014,782,000 new ordinary shares at an issue price of HK$1.15 per share. These shares represent a 3.56% increase in the existing number of issued shares before the event.

The placement involved the Tranche 1A Subscription Shares and was conducted pursuant to a subscription agreement dated September 16, 2025 (as amended on September 25, 2025) and a placing agreement also dated September 16, 2025. This capital-raising exercise effectively increased the total number of issued shares from 28,480,818,973 as of September 30, 2025, to 29,495,600,973 as of October 6, 2025.

The company confirmed that all necessary conditions and legal requirements related to the share issue have been duly met. All new shares are identical in rights to the existing ordinary shares.
